Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and ProsodyAI, Inc. ("ProsodyAI", "we", "our", or "us"), governing your access to and use of the ProsodyAI platform, APIs, and related services (collectively, "Services").

By creating an account, accessing our platform, or using our APIs, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding contract, and agree to be bound by these Terms and our Privacy Policy.

If you are accessing the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

ProsodyAI provides an emotion-aware, AI-powered text-to-speech (TTS) platform, including:

• Neural TTS synthesis with natural prosody and emotion modulation
• Zero-shot voice cloning using reference audio (30 seconds or more)
• RESTful API access for programmatic integration
• Audio post-processing including enhancement, normalization, and de-essing
• Multi-language support across 23 languages
• Emotion analysis and SSML-based prosody control
• Dashboard analytics, usage reporting, and quota management

We reserve the right to modify, suspend, or discontinue any feature of the Services at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

Account Creation

To access most features, you must create an account. You agree to provide accurate, complete, and current information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials.

Account Security

• You are solely responsible for all activity that occurs under your account
• You must notify us immediately at security@prosodyai.ai of any unauthorized access or breach
• We strongly recommend enabling two-factor authentication (2FA)
• You may not share your account credentials or allow others to access your account
• API keys must be stored securely and rotated if compromised

Account Types

We offer Free, Starter, Creator, Studio, and Enterprise tiers. Features, quotas, and pricing differ by plan. Enterprise customers may negotiate custom terms.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not use the Services to:

• Generate audio that impersonates a real person without their explicit consent
• Create deepfakes or synthetic media intended to deceive, defame, or harm individuals
• Produce content that is illegal, defamatory, harassing, threatening, or obscene
• Violate the intellectual property rights of any third party
• Circumvent quota limits, rate limits, or access controls through technical means
• Reverse-engineer, decompile, or attempt to extract source code from our Services
• Resell or sublicense access to the Services without prior written authorization
• Use the Services for automated scraping or bulk data collection
• Introduce malicious code, viruses, or disruptive software
• Violate any applicable laws or regulations, including GDPR, CCPA, or export controls

Violation of this section may result in immediate account suspension or termination without refund.

Voice Cloning Consent

Before training a voice clone, you must submit a Voice Consent Record confirming that you hold the rights to the reference audio and that all relevant parties have consented to the creation of a synthetic voice. Consent may be revoked at any time, which will trigger immediate deletion of the cloned model.

Subscriptions

Paid plans are billed on a monthly or annual basis. Subscription fees are charged in advance at the beginning of each billing cycle. All prices are in US Dollars (USD) unless otherwise stated.

Payment Processing

We use third-party payment processors. By providing payment information, you authorize the applicable processor to charge your payment method for all fees due. ProsodyAI does not store raw payment card data.

Quota Overages

If you exceed your monthly character quota, synthesis requests will be queued or rejected based on your plan. Unused quota does not roll over to the following month.

Refunds

• Monthly subscriptions: no refunds for partial months
• Annual subscriptions: pro-rated refunds available within 14 days of the annual renewal date
• Add-ons and one-time purchases: non-refundable once consumed
• Accounts terminated for violation of these Terms are not eligible for refunds

Price Changes

We may change our pricing at any time. Existing subscribers will receive at least 30 days notice before any price increase takes effect.

ProsodyAI Property

The Services, including all software, algorithms, models, user interfaces, documentation, and trademarks, are the exclusive property of ProsodyAI and its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely as permitted by these Terms.

Your Content

You retain full ownership of the text you submit and the audio you generate using our Services. We claim no intellectual property rights over your content.

License to Us

By submitting content to our Services, you grant ProsodyAI a limited, non-exclusive, royalty-free license to process, store, and transmit your content solely for the purpose of providing and improving the Services. This license terminates when you delete your content or close your account, subject to applicable retention periods.

Feedback

If you submit suggestions, feedback, or ideas about the Services, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate such feedback without compensation or attribution to you.

You are solely responsible for all content you submit through the Services. By submitting content, you represent and warrant that:

• You own or have the necessary rights to the content
• The content does not infringe any third-party intellectual property rights
• The content does not violate any applicable law or regulation
• The content does not violate the rights of any person, including rights of privacy or publicity
• Voice reference audio was obtained with the explicit, informed consent of the voice actor

ProsodyAI does not pre-screen user content but reserves the right to remove content or suspend accounts that violate these Terms. We are not responsible for any content submitted by users.

Access to the ProsodyAI API is subject to these Terms and any additional API-specific documentation we publish. API users must:

• Authenticate all API requests using a valid API key
• Respect published rate limits and quota allocations
• Attribute ProsodyAI in commercial products that feature our synthesis output (unless written waiver granted)
• Immediately rotate compromised API keys and notify us
• Not use the API to build a competing TTS service

We reserve the right to throttle, suspend, or revoke API access at any time for abuse, excessive load, or violation of these Terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROSODYAI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR QUALITY OF ANY CONTENT GENERATED THROUGH THE SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROSODYAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO PROSODYAI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IF YOU RESIDE IN SUCH A JURISDICTION, SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless ProsodyAI and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services in a manner not authorized by these Terms
• Your User Content
• Your violation of any third-party rights, including intellectual property rights or rights of privacy
• Any fraud or misrepresentation you make in connection with the Services

Termination by You

You may terminate your account at any time through the account settings dashboard or by contacting support@prosodyai.ai. Termination takes effect at the end of the current billing period.

Termination by Us

We reserve the right to suspend or terminate your account immediately, without notice or refund, if we determine that you have violated these Terms, engaged in fraudulent activity, or posed a security risk to the Services or other users.

Effect of Termination

• Your access to the Services will cease immediately
• Pending synthesis tasks may be cancelled without refund of quota consumed
• Synthesized audio files will be deleted within 30 days per our retention policy
• Provisions that by their nature should survive termination (including IP, disclaimers, liability, and governing law) will continue to apply

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

You waive any right to participate in a class action lawsuit or class-wide arbitration. All claims must be brought in your individual capacity.

If you are a consumer residing in the European Union, you may also have the right to access the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
